Terms of Service
Limit of Liability. Width.ai liability shall not exceed the total value of this SOW.
Rights to Intellectual Property. Both Width.ai and Customer own all rights to their respective pre-existing intellectual property. All deliverables produced during this engagement for Customer will be the sole property of the Customer.
Confidentiality. Each party shall keep confidential and not disclose to any third party or use (except as required by this SOW), any non-public information
obtained from the other party, provided, however, that neither party shall be
prohibited from disclosing or using Confidential Information that the receiving party
can document: (i) is publicly available or becomes publicly available through no act or omission of the receiving party, (ii) is or has been disclosed to such party by a third party who is not under an obligation of confidentiality with respect thereto, (iii) is or has been independently developed by such party, without use or
reference to the other party’s confidential information, by persons without access to the same, or (iv) must be used or disclosed under court order or applicable law, provided such use or disclosure is to the minimum extent required by such court order or applicable law. Width.ai agrees not to disclose any personal company
information used for 3rd party access.
Payment Terms. For the services under this SOW, Customer agrees to pay
Width.ai the amounts and at the rates or prices set forth in the SOW. Width.ai
will invoice Customer on a monthly basis . Customer will pay Width.ai invoices submitted under this SOW within at least 15 days of invoice. Width.ai reserves the right to take action to retrieve late and unpaid invoices. The Customer is required to provide a card on file. Width.ai reserves the right to apply a 5% late fee to any invoices over 60 days overdue.
Contract Terms. Both parties agree to the right to terminate this agreement at any time with 30 days notice. These contracts are treated as time and materials engagements unless otherwise noted.
Rights to assign personnel. Width.ai warrants that all personnel assigned to work under this engagement shall meet position qualifications. Width.ai shall have the ability to transition team members on and off the project during the term of this engagement.
Website Content License
Unless otherwise stated, Company Name and/or its licensors own the intellectual property rights for all material on Width.ai. All intellectual property rights are reserved. You may access this fromWidth.ai for your own personal use subjected to restrictions set in these terms and conditions.
You must not:
- Republish material from Width.ai
- Sell, rent or sub-license material from Width.ai
- Reproduce, duplicate or copy material from Width.ai
- Redistribute content from Width.ai
This Agreement shall begin on the date hereof January 1st 2023.
Parts of this website offer an opportunity for users to post and exchange opinions and information in certain areas of the website. You hereby grant Width LLC a non-exclusive license to use, reproduce, edit and authorize others to use, reproduce and edit any of your Comments in any and all forms, formats or media.
